Independent Contractor Agreement

Between Junk Out LLC and each Crew accepting jobs through the Platform.

1.Independent Contractor Status

Each Crew is engaged as an independent contractor and not an employee, partner, or agent of Junk Out LLC. Crews control the means and methods of performing each job and are solely responsible for their own workers, taxes, insurance, tools, vehicles, disposal fees, permits, and licenses.

2.Job Acceptance

Crews are not obligated to accept any specific offer. Once a Crew submits a quote that a Customer selects, the Crew is committed to performing the job as described and within the agreed timeframe.

3.Platform Fees

Crews agree to the following fees:

  • Basic (Pro Subscriber): $4.99/month subscription + flat 4.00% per closed job.
  • Standard: $2.00/month subscription + 4.00%–8.00% per closed job, based on service category (Recycling & Donation 4.00%, Furniture & Appliance 4.50%, Junk Removal 5.00%, Property Cleanouts 6.00%, Moving Help 7.00%, Demolition & Debris 8.00%).

Per-job fees are deducted from the escrow release. Subscription fees are billed on the 1st of each month. Junk Out LLC may adjust fees on 30 days’ notice.

4.Escrow and Payment

Customer payments are held in escrow by Junk Out LLC until the Customer confirms completion. Upon release, the net amount (gross quote minus platform fee) is remitted to the Crew via ACH or the configured payout method within 3 business days.

5.Referral Bonus

Crews may earn one (1) free month of subscription for each referred Crew that completes five (5) released jobs within their first 90 days on the Platform. Both parties receive the bonus.

6.Insurance and Licensing

Crews represent and warrant that they carry, at minimum, commercial general liability insurance of not less than US$1,000,000 per occurrence, commercial auto insurance covering vehicles used for hauls, and workers' compensation coverage where required by state law. Crews are responsible for possessing any state or municipal hauling license, and any specialty permits (e.g., demolition, construction & demolition debris).

7.Prohibited Materials

Crews may not knowingly transport materials prohibited under the Hazardous Materials Waiver. If a Crew arrives on-site and discovers prohibited items, the Crew must refuse or renegotiate the job through the Platform and immediately report the situation to support@junkoutllc.com.

8.Ratings, Conduct, and Suspension

Crews consent to Customer star ratings and reviews being displayed on their public Crew Profile. Junk Out LLC may suspend or terminate a Crew’s access for repeated 1–2 star ratings, verified customer complaints, no-shows, unsafe conduct, or violation of these Terms.

9.Tax Documents (1099-NEC)

Junk Out LLC will issue Form 1099-NEC to each Crew who earns more than $600 (or the then-current IRS threshold) in a calendar year. Crews must submit a completed W-9 before receiving their first payout. Failure to submit a W-9 will result in delayed payouts and potential backup withholding.

10.Non-Circumvention

Crews may not solicit Customers introduced through the Platform to conduct services off-Platform for a period of twelve (12) months following the last Platform-completed job with that Customer.

11.Indemnification and Liability

Crews shall indemnify and hold harmless Junk Out LLC, its officers, and members from any claim, damage, or liability arising out of the Crew’s performance of a job, including property damage, personal injury, environmental incidents, or failure to properly dispose of collected materials.

12.Term and Termination

Either party may terminate this Agreement at any time by written notice to support@junkoutllc.com. Termination does not relieve the Crew of obligations for jobs already accepted or fees already accrued.

13.Governing Law and Venue

Governed by the laws of the State of Florida. Venue and arbitration as set forth in the Terms of Service.
